These Terms of Use (“Terms”) govern access to and use of TallyTap, a voice-first expense-recording application and related website operated by Robert Malinowski, operating as TallyTap (“TallyTap,” “we,” “us,” or “our”).
1. Acceptance and eligibility
By accessing or using TallyTap, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service. You must be legally capable of entering into this agreement and, if using TallyTap for a business or organization, authorized to act for it. TallyTap is designed for adult business users and is not directed to children.
2. Permitted use
You may use TallyTap for lawful personal or business expense-recording purposes in accordance with these Terms. Any permission to use the service is limited, revocable, non-exclusive, and non-transferable. You are responsible for your device, connectivity, exported files, and all activity undertaken through your use of the service.
3. Voice transcription and user review
Voice transcription, automated extraction, and categorization can be incomplete, delayed, or inaccurate. Background noise, accents, connectivity, vendor names, amounts, and other factors may affect results. You must review every draft entry—including vendor, amount, category, job or site, and date—before relying on it.
TallyTap does not guarantee that a spoken entry will be captured, transcribed, categorized, saved, or exported without error.
4. Your records and responsibilities
You are solely responsible for the accuracy, completeness, classification, and lawful use of your expense information. TallyTap does not replace original receipts, invoices, bank records, contracts, or records required by tax authorities, regulators, clients, or your business practices.
You must retain supporting paper or digital documents for the periods and in the formats applicable to you. You are also responsible for protecting and backing up locally stored data and exported files. An export is controlled by you after it leaves TallyTap.
5. No professional advice
TallyTap is an expense-recording aid only. It does not provide accounting, bookkeeping, tax, legal, investment, or other financial advice. Categories, summaries, prompts, and automated outputs are informational tools and should not be treated as professional advice or as a filing-ready determination. Consult a qualified professional for advice about your circumstances.
6. Prohibited use
You must not:
- use TallyTap for unlawful, fraudulent, deceptive, abusive, or harmful activity;
- submit information you do not have the right or authority to process;
- attempt to gain unauthorized access to the service, another system, or service credentials;
- interfere with, overload, probe, scan, reverse engineer, or circumvent security or technical restrictions, except where a restriction is prohibited by law;
- introduce malware or use automated means to scrape or abuse the service;
- misrepresent TallyTap output as verified professional advice; or
- use the service in a way that violates applicable law or third-party rights.
7. Third-party services
TallyTap uses third-party infrastructure and processing services, including Render and OpenAI. Their availability, operation, and data practices may affect the service. Your use of third-party applications to store, open, transmit, or share exported files is governed by those providers’ terms and policies. To the extent permitted by law, TallyTap is not responsible for third-party services outside its reasonable control.
8. Intellectual property
TallyTap and its branding, interface, software, content, designs, and related materials are owned by or licensed to Robert Malinowski, operating as TallyTap, and are protected by applicable intellectual-property laws. These Terms do not transfer ownership to you. You retain your rights in the expense information you provide, subject to the limited permission needed for TallyTap and its providers to process that information to deliver, secure, and support the service.
Feedback may be used to improve TallyTap without payment or obligation to you, provided it is not treated as your confidential information unless agreed otherwise in writing.
9. Availability and modifications
TallyTap is under development. Features may be added, changed, suspended, or removed, and the service may experience interruptions, errors, maintenance, or data loss. We may modify or discontinue all or part of the service where reasonably necessary. Where appropriate and practicable, we will provide notice of material changes.
10. Disclaimers
To the maximum extent permitted by applicable law, TallyTap is provided on an “as is” and “as available” basis without representations, warranties, conditions, or guarantees of uninterrupted availability, error-free operation, fitness for a particular purpose, merchantable quality, accuracy, security, or non-infringement.
Nothing in these Terms excludes a warranty, condition, remedy, or right that cannot lawfully be excluded or limited under applicable consumer-protection law.
11. Limitation of liability
To the maximum extent permitted by applicable law, TallyTap and Robert Malinowski will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, data, receipts, tax benefits, or anticipated savings arising from or related to the service.
Where liability cannot be excluded, any limitation will apply only to the extent legally permitted and will not limit liability for fraud, wilful misconduct, gross negligence where it cannot be limited, personal injury caused by negligence, or any other liability that applicable law prohibits us from limiting. Mandatory consumer-protection rights remain unaffected.
12. Indemnity
To the extent permitted by law, if you use TallyTap for a business or commercial purpose, you agree to indemnify and hold harmless TallyTap and Robert Malinowski from third-party claims, losses, and reasonable costs arising from your unlawful use of the service, your material breach of these Terms, or information you submit without appropriate rights. This provision does not apply to the extent a claim results from TallyTap’s own unlawful conduct or where indemnity is restricted by mandatory law.
13. Suspension and termination
You may stop using TallyTap at any time. We may suspend or terminate access where reasonably necessary to protect users or the service, address unlawful or prohibited conduct, comply with law, or respond to a material breach of these Terms. Provisions that by their nature should survive termination—including responsibility for records, intellectual property, disclaimers, liability limits, and governing law—will continue to apply.
14. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Subject to any mandatory consumer right to bring a claim elsewhere, the courts of Ontario will have jurisdiction. Nothing in these Terms removes protections or remedies you are entitled to under mandatory consumer-protection law.
15. Changes to these Terms
We may update these Terms as TallyTap evolves or legal requirements change. Revised Terms will be posted at this address with an updated effective date. If a change is material, we may provide additional notice through the app or website where appropriate. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
